These Terms of Service govern your use of Even Margin. Please read them. They are a binding agreement between you and Even Margin LLC.

Summary: Subscriptions renew automatically until you cancel, and fees are not refunded. The service is provided as is, our liability is capped at the lesser of what you paid us in the last 12 months or $100, and disputes go to Florida courts.
Section 01

The Agreement

By creating an account, subscribing, or using Even Margin, you agree to these Terms and to our Privacy Policy, which is part of this agreement. If you do not agree, do not use the service.

Even Margin is a product for businesses. If you are accepting on behalf of a company, you represent that you have authority to bind it, and "you" means that company. You must be at least 18 years old. You agree to receive notices, agreements and other communications from us electronically, and that they satisfy any requirement that they be in writing.

Section 02

Your Account

  • You are responsible for the accuracy of the information you give us and for keeping it current.
  • You are responsible for keeping your password secure and for everything that happens under your account. Tell us at security@evenmargin.com immediately if you suspect unauthorized access.
  • You may create multiple organizations. Each one is billed separately.
  • When you connect a bank account, you confirm that you are authorized to access that account and to share its data with us.

Section 03

Subscriptions and Billing

Free trial

New subscriptions include a 14-day free trial. You provide payment details when you start it. Unless you cancel before the trial ends, the subscription converts automatically to a paid plan and your payment method is charged.

Automatic renewal

Your subscription renews automatically every month at the plan price shown at checkout, charged to your payment method on file, and continues until you cancel. There is no fixed end date. You can cancel at any time from the billing portal, which opens from "Manage billing" in the sidebar.

Payment

  • Payments are processed by a third-party payment processor. We never receive or store your card number.
  • Prices are in US dollars and exclude any taxes, which are added where applicable.
  • If a payment fails, we may limit access to the organization and cancel the subscription.
  • We may change prices. We will notify you before a change affects your renewals, and you may cancel before it takes effect.

Section 04

Cancellation and Refunds

You can cancel at any time from the billing portal, which opens from "Manage billing" in the sidebar.

Fees already paid are not refundable and we do not prorate partial periods. Access to that organization's books ends when the subscription ends. Export anything you need before you cancel.

Deleting an organization cancels its subscription immediately, and nothing is refunded for the unused part of the period.

Nothing here limits any refund right you have under applicable law that cannot be waived.

Section 05

Your Data

Your data belongs to you. You keep all rights to the transactions, categories, rules, notes, and files you bring into or create in Even Margin. We do not claim ownership of any of it.

You grant us a license to store, process, transmit, display and back up your data to provide, operate and improve the service, as described in our Privacy Policy.

You are responsible for having the right to give us the data you upload or connect, including any data about other people.

Section 06

Acceptable Use

You agree not to:

  • Use Even Margin for anything unlawful, or to launder money, evade taxes, or conceal financial crime
  • Connect a financial account you are not authorized to access
  • Attempt to gain unauthorized access to the service, other customers' data, or our infrastructure
  • Probe or test the security of the service except as invited by our vulnerability disclosure policy
  • Scrape, resell, or redistribute the service, or use it to build a competing product
  • Upload malware, or deliberately overload or disrupt the service
  • Share your account credentials with people outside your business

Section 07

Not Accounting or Tax Advice

Even Margin is bookkeeping software, not an accountant. The reports, categories, and figures it produces are for your own information and are not accounting, tax, legal, or financial advice.

Transaction categorization is automated and will sometimes be wrong. Bank data comes from third parties and can be delayed, incomplete, or inaccurate. You are responsible for reviewing your books and for the accuracy of anything you file or submit based on them. Before making a tax, accounting, or financial decision, talk to a qualified professional.

Section 08

Service Availability and Changes

We do not promise that the service will be available or uninterrupted, and we do not offer a service level agreement.

We may add, change, or remove features at any time.

The service relies on third parties, including banks, data providers and payment processors. Their services are governed by their own terms, and we are not responsible for them or for what they do with your information.

Section 09

Termination

You may stop using Even Margin at any time by canceling your subscription and deleting your organizations.

We may suspend or terminate your access if you materially breach these Terms, if your payment fails and stays unresolved, if we are required to by law, or if your use puts the service, us or other customers at risk.

Section 10

Disclaimer of Warranties

To the fullest extent permitted by law, Even Margin is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We specifically disclaim the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or secure, that automated categorization will be accurate, or that data received from your bank or from any third party will be timely, complete or correct. Features we describe as beta or preview are provided without any commitment that they will continue. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

Section 11

Limitation of Liability

To the fullest extent permitted by law, Even Margin LLC and its members, officers, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost savings, business interruption, tax penalties or interest, or lost or inaccurate data, however caused and under any theory of liability, even if advised of the possibility.

Our total liability for all claims arising out of or relating to these Terms or the service will not exceed the lesser of the total amount you paid us in the twelve months before the event giving rise to the claim, or $100.

Any claim arising out of or relating to these Terms or the service must be brought within one year after it arises, or it is permanently barred.

These limits do not apply to liability that cannot be limited by law, including fraud or willful misconduct. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Section 12

Indemnification

You agree to defend, indemnify and hold harmless Even Margin LLC and its members, officers, employees and agents from any claims, damages, losses, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the service, the data you provide or connect, your breach of these Terms, or your violation of any law or of another party's rights. We may take control of the defense of any such claim at your expense, and you will cooperate with us.

Section 13

Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state and federal courts located in Florida, and both parties consent to the personal jurisdiction of those courts.

Before bringing any claim, you agree to email legal@evenmargin.com describing it and to try in good faith to resolve it informally for 30 days.

If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it without restriction. We are not responsible for any delay or failure caused by events beyond our reasonable control. Sections that by their nature should survive termination will survive it, including those on fees owed, your data license, disclaimers, limitation of liability, indemnification and disputes. These Terms, together with the Privacy Policy, are the entire agreement between us about the service.

Section 14

Changes to These Terms

We may update these Terms by posting them here with a new effective date, and will notify you of material changes before they take effect. Continuing to use Even Margin after that date means you accept the change.
